Terms and Conditions

1. Who we are

These Terms and Conditions ("Terms") govern your access to and use of Orbitals, including the website, applications, and related services (together, the "Service"). The Service is operated by Venture Squad Limited, a company incorporated in Gibraltar ("Venture Squad", "we", "us", "our").

By creating an account, joining an orbital, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and that any registration information you provide is accurate.

If you use the Service on behalf of an organization or community, you represent that you are authorized to bind that organization to these Terms.

3. Your account

You are responsible for your account and for all activity that occurs under it. Keep your login credentials confidential and notify us promptly of any unauthorized use of your account. Our use of your registration information is described in the Privacy Policy.

We authenticate accounts through third-party identity providers in some cases. Your use of those providers is subject to their own terms.

4. Access to the Service

We reserve all rights with respect to managing access to the Service. Without limiting the foregoing, we may, at our sole discretion and with or without notice:

  • accept or decline any registration or request to join the Service or any orbital;
  • suspend, restrict, or terminate any account or any user's access to all or part of the Service;
  • remove, restrict, or refuse any content;
  • modify, suspend, or discontinue all or part of the Service.

We may exercise our discretion under this Section 4 not only to protect the integrity of the Service and enforce these Terms, but also to comply with data protection law and our Privacy Policy, including where we reasonably believe personal data is being used in a way that breaches those rules.

We will act reasonably and, where practicable, provide notice, but we are not obliged to give reasons for access decisions. Community operators ("orbital administrators") may additionally set their own membership rules and may admit, remove, or ban members of their orbitals; those decisions are theirs, not ours.

5. Communities and roles

Orbitals is a platform on which users create and operate communities ("orbitals"). Orbital administrators are responsible for their orbital's settings, membership rules, and the information they collect from members through profile fields. Members are responsible for the information they choose to share within an orbital.

We provide the platform; we do not operate, endorse, or supervise individual orbitals and are not a party to arrangements between administrators and their members.

Orbitals and data protection. For personal data processed through the Service, Venture Squad generally acts as a data controller. Orbital administrators may act as independent controllers or joint controllers for the personal data they collect and manage within their orbitals, as described in our Privacy Policy. Orbital administrators must comply with applicable data protection law and our Privacy Policy when collecting and using member information.

6. Acceptable use

You agree not to use the Service to create, upload, share, link to, or promote content that:

  1. is sexually explicit or otherwise adult in nature;
  2. depicts, promotes, or incites violence, or threatens or harasses any person;
  3. is illegal or promotes illegal activity, in Gibraltar or in the jurisdiction of the user concerned;
  4. constitutes or promotes gambling, betting, lotteries, or similar games of chance;
  5. involves soliciting, advertising, or selling products or services (commercial offers of any kind are not currently permitted on the Service);
  6. infringes any third party's intellectual property, privacy, or other rights;
  7. contains malware, spam, or deceptive or fraudulent material;
  8. impersonates any person or misrepresents your affiliation with any person or entity.

You further agree not to:

  1. interfere with or disrupt the operation of the Service;
  2. attempt to gain unauthorized access to the Service or to other users' accounts or data;
  3. scrape or harvest data from the Service without our written consent;
  4. use the Service to collect personal data of others beyond what the Service is designed to facilitate, or in ways that conflict with our Privacy Policy or applicable data protection law;
  5. if you are an orbital administrator, require members to submit special category (sensitive) personal data — such as data revealing health, religion, sexual orientation, or political opinions, or government identification documents — as a condition of membership or otherwise.

Any of the items 1–13 above may be cited as "Section 6(n)" (for example, Section 6(4) for gambling content).

We may remove content and suspend or terminate accounts that we reasonably believe violate this section.

7. Your content

You retain ownership of the content you submit to the Service, including profile information and any material you post within orbitals ("User Content").

By submitting User Content, you grant Venture Squad a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute that content solely as necessary to operate, provide, and improve the Service. This license ends when your User Content is deleted from the Service, except to the extent copies remain in routine backups for a limited period or retention is required by law or for moderation purposes.

You are solely responsible for your User Content and warrant that you have the rights needed to submit it.

8. Leaving, deletion, and bans

If you leave an orbital, the profile data you held within that orbital is permanently deleted. If you delete your account, your profiles across all orbitals are deleted. If you are banned from an orbital, limited profile data may be retained as necessary for moderation and to enforce the ban.

The collection and use of personal data in connection with the Service are governed by our Privacy Policy, which forms part of these Terms. Nothing in these Terms limits your rights under applicable data protection law.

9. Our intellectual property

The Service, including its software, design, branding, and all content we provide (excluding User Content), is owned by Venture Squad or its licensors and is protected by intellectual property laws. All rights reserved. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service except as permitted by law.

"Orbitals" and associated logos are trademarks of Venture Squad Limited. Nothing in these Terms grants you any right to use them.

10. Third-party services

The Service may allow you to connect third-party accounts or display content hosted by third parties. Those services are governed by their own terms and privacy policies, and we are not responsible for them. Connecting a third-party account is optional unless an orbital administrator makes it a condition of membership in their orbital. Any sharing of personal data with third-party services is described in our Privacy Policy.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, non-infringement, and availability. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that content submitted by users is accurate or lawful.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law.

12. Limitation of liability

To the maximum extent permitted by law, Venture Squad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of (or inability to use) the Service, including any conduct or content of other users or orbital administrators.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed one hundred pounds sterling (£100) or the amount you have paid us for the Service in the twelve months preceding the claim, whichever is greater.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold harmless Venture Squad and its officers, directors, and employees from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your breach of these Terms. This indemnity does not apply to claims arising solely from our own breach of applicable data protection law or our own gross negligence.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access as described in Section 4. Upon termination, sections that by their nature should survive (including Sections 6, 7, 9, 11–13, 16, and the provisions of our Privacy Policy relating to data retention, security, and your rights) will survive.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — for example, by notice within the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

16. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the laws of Gibraltar. The courts of Gibraltar shall have exclusive jurisdiction, except where applicable consumer protection law grants you the right to bring proceedings in your own country of residence. If you are a consumer, you may benefit from mandatory provisions of law in your country of residence, and nothing in these Terms or our Privacy Policy affects those rights.

17. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of it. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any policies referenced in them, constitute the entire agreement between you and Venture Squad regarding the Service.
